Terms of Service

This document is provided in English, which is the binding version.

These terms govern the use of QuoteGate AI by businesses ("you", "the customer"). By buying a plan, starting a pilot or using the API you accept them on behalf of your company. QuoteGate AI is for businesses only, not for consumers.

1. The service

QuoteGate AI provides an AI agent that answers price requests from your buyers and their software agents by email, API and MCP, quotes from your price list and terms, negotiates inside the limits you set, checks the buyer's company, passes exceptions to your team and sends accepted orders to your systems. The service runs on our servers. You receive addresses, endpoints, keys and instructions; you do not receive software, code or containers, in any plan.

2. Your rules, your quotes

You set the price list, terms, discount limits, floor prices and approval rules. The agent quotes and accepts deals on your behalf strictly within those rules. A quote or order the agent issues within your rules is your offer or acceptance towards your buyer. You are responsible for keeping the price list and rules correct and for your contracts with buyers. We are responsible for the agent following your rules.

If the agent acts outside your rules because of an error on our side, tell us within 5 business days; we will help you correct it with the buyer and the rules on liability in section 9 apply.

3. Accounts and keys

Keep API keys and admin keys secret and tell us at once if one may be exposed; we will replace it. You are responsible for activity under your keys until you report a compromise.

4. Acceptable use

You may not use the service to break the law, send spam, deceive buyers, discriminate unlawfully, test or attack our or others' systems, or resell the service except under a written partner agreement. We may suspend use that threatens the service or others, and will tell you why.

5. Fees, pilot and payment

Plans are billed monthly in advance, in US dollars, at the prices on our site or in your order. One-time services (Pilot, Audit Pro) are billed when ordered. The Pilot fee counts towards the first plan you buy within the pilot period. Prices exclude taxes. Unpaid invoices more than 14 days overdue allow us to suspend the service after notice. You can change plan or cancel at the end of any month; fees already paid are not refunded, except where the law requires it.

6. Your data

Your data and your buyers' data remain yours. We use it only to provide the service to you, as described in our Data Processing Addendum, which forms part of these terms. You can export your rules, deals and audit log at any time. When the contract ends we delete your data within 30 days, unless you ask for an export first or the law requires us to keep it.

7. Our property

The service, its software, models, prompts, rules engine and documentation are our property and confidential. These terms grant you a right to use the service during the contract, nothing more. Feedback you give us may be used to improve the service.

8. Availability and changes

We aim for high availability and announce planned maintenance in advance, but the standard plans come without a guaranteed uptime; Enterprise contracts may include one. We may improve the service; we will not remove a core function you pay for during your billing period.

9. Liability

Neither party is liable for indirect or consequential loss, lost profit or lost data beyond what reasonable backups would restore. Each party's total liability under these terms is limited to the fees you paid in the 12 months before the claim. These limits do not apply to wilful misconduct, gross negligence, breach of confidentiality, or what cannot be limited by law.

10. Term and termination

The contract runs month to month until cancelled. Either party may terminate at once for a material breach not fixed within 14 days of notice.

11. Law and courts

These terms are governed by the laws of the State of Israel. The competent courts in Haifa have exclusive jurisdiction.

12. Changes to these terms

We will announce changes by email 30 days before they apply. If you do not agree, you can cancel before they take effect.
